In addition, “Service” shall include all communications, email, or data sent by FundingRequest.com. This also includes the use of artificial intelligence (“AI”).

Lender Disclaimer

Funding Request operates as a capital marketplace and technology platform only, Funding Request is not a lender. We provide lenders access to funding requests and borrower profiles, but we do not control, influence, or guarantee which lender—if any—will ultimately fund a borrower.

Lead credits grant access to view and engage with funding requests and borrower information only. Lead credits do not guarantee:

• Matches or introductions
• Exclusive access to any deal
• Funding opportunities or approvals
• That a lender will be selected by a borrower
• That a transaction will be completed

Lenders acknowledge that multiple lenders may view, pursue, and compete for the same funding request, and that borrowers retain full discretion in choosing if, when, and with whom they proceed to do business with.

All lead credits are considered used upon access or engagement, regardless of outcome. Unused lead credits or lead credits that do not result in a completed transaction are non-refundable. Funding Request is not responsible for outcomes where a lender does not secure a deal, is not selected by a borrower, or exhausts lead credits without closing a transaction.

The FundingRequest.com Referral Program (the “Referral Program”) offers a seamless, User-friendly experience that makes it quick and easy to start potentially earning passive income. Interested Users sign up for free, and within minutes, receive a personalized referral link and QR code, ensuring the participant in the Referral Program (a “Referral Program Participant”) is credited every time one of their referrals leads to a funding request or the sale of a lending profile subscription after a referral’s free trial period ends.

Referees can select from a wide range of pre-designed posts that make it easy to share opportunities available through FundingRequest.com with their network—whether through social media, direct mail, or email marketing. Referral Program Participants just share the FundingRequest.com generated links and images, and FundingRequest.com takes care of the rest. FundingRequest.com does not authorize any Referral Program Participant to alter the links or images generated by FundingRequest.com. Alterations to any FundingRequest.com generated link or ad violates the Terms and Services of the Referral Program and will invalidate any income generation.

3. Billing Authorization

4. Renewal and Cancellation

• At the end of each billing cycle, subscriptions automatically renew under the same conditions, unless canceled according to the Terms.

5. Failed Payments

6. Fee Changes

• Right to Modify Fees – FundingRequest.com can change the monthly subscription fees and the price of lead credits at any time at its discretion.

If within 90 days of an entrepreneur’s subscription to FundingRequest.com, that entrepreneur has received no interest in its profile, we will grant the entrepreneur continued access to the Platform at no additional charge until the profile receives interest.
2. Interest in a Platform Participant’s profile is defined by when a User becomes the recipient of another User’s auto-generated email expressing interest.

Users understand and agree to the Terms of Service and permissions regarding content posted on FundingRequest.com. Here is a summary of the key points:

1. Ownership and Responsibility of Content

• Users are responsible for any content they post, including text, images, videos, or other materials created via AI based on User profiles. Content must be truthful, accurate, compliant with all applicable laws and regulations, and not violate any third-party rights.

2. Content Restrictions

• Content promoting hatred, racism, or divisiveness, including political or controversial material is prohibited. FundingRequest.com reserves the right to remove content at its discretion. Users whose content is removed are entitled to a refund.

3. Intellectual Property Rights

• Users retain ownership of their content. However, by posting content, Users grant FundingRequest.com the right to use, modify, display, and distribute it. This license also allows other Users of the Platform to use the content under the Terms.

4. Monitoring and Editing

• FundingRequest.com may, but is not required to, monitor and edit User-submitted content, including, but not limited to, AI-generated content. Any such monitoring or editing does not mean that FundingRequest.com is responsible for such content or that FundingRequest.com has reviewed such content for its accuracy or completeness.

The profit, revenue, and earnings posted by an entrepreneur should not be solely relied upon. Users must do independent due diligence, as many factors, including but not limited to, fluctuating market conditions, business experience, business connections, available financing, local competition, and the ability to successfully market their product and service.

Due to many factors that can affect a business, Users may not achieve the results posted by the entrepreneur or their desired results. Users agree to hold FundingRequest.com harmless of all representations in any profiles posted on the Platform.

Users are required to keep all information obtained by and through the use of the Platform strictly confidential. Users understand and acknowledge that the sharing of any information obtained by or through the use of our Service with others could, and likely would, cause irreparable harm and damage to FundingRequest.com, investors, entrepreneurs, and the finance providers whose businesses are listed on the Service.

All content posted in any funding request or funding profile on FundingRequest.com is proprietary to the Platform and is confidential, intended solely for use by Users.

Unless otherwise agreed to by the applicable Users, Users are strictly prohibited from sharing another User’s content or information unless required by law. Once Platform Participants are matched via the Platform, each User understands that the information shared among them is confidential and cannot be shared with anyone else. The sharing of information must remain between the Users with whom they are matched. Users are strictly prohibited from sharing information about their matched counterparty and their business with any other person or entity, except for the User’s employees conducting due diligence. These employees must agree to maintain confidentiality, and the Platform Participant agrees to be responsible for their actions. Once matched, Users may want to consider entering into a separate confidentiality and nondisclosure agreement with one another.

It is understood that all Users are responsible for complying with FundingRequest.com confidentiality policies, as well as the confidentiality policies of any brokerage firm where they have identified a business of interest for purchase or financing and any other confidentiality obligations they may have agreed to. Any Platform Participant that is represented by a brokerage firm, cannot identify the brokerage firm in their profile for marketing purposes. They are responsible for maintaining the confidentiality of that business with the brokerage firm that introduced them to the business listing.

All FundingRequest.com Users are responsible for complying with all commission and circumvention policies. Users understand that violating the rules governing our information-sharing policy will result in the pursuit of damages allowable under our confidentiality and non-disclosure agreements with the firm that introduced them to the seller.

Users agree to be personally responsible for all damages incurred by any party as a result of failure to abide by the Terms and Conditions of this Confidentiality/Non-Disclosure Agreement as set forth herein. IN NO EVENT SHALL ANY PARTY, INCLUDING FUNDINGREQUEST.COM, BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING, BUT NOT LIMITED TO DAMAGES BASED UPON LOSS OF ANTICIPATED PROFITS, BUSINESS INTERRUPTION, LOST BUSINESS, LOSS OF GOODWILL OR LOST SAVINGS), CONSEQUENTIAL OR SPECIAL DAMAGES OF ANY KIND OR NATURE, IRRESPECTIVE OF WHETHER SUCH LIABILITY IS ASSERTED ON THE BASIS OF CONTRACT, TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY) OR OTHERWISE,

EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF ANY SUCH DAMAGE, ARISING OUT OF OR RELATING TO: THESE TERMS OF SERVICE, THE PLATFORM OR ANY SERVICES; ANY ACTS OR FAILURE TO ACT UNDER THESE TERMS OF SERVICE; TECHNICAL ERRORS, ACCIDENTAL ERRORS, INACCURACY OF CONTENT OR DATA; INABILITY TO ACCESS THE PLATFORM; THE RESULTS OF YOUR USE OF THE PLATFORM AND/OR THE SERVICES OR CONTENT ON THE PLATFORM, OR ANY EXTERNAL WEBSITES LINKED TO THE PLATFORM.

FundingRequest.com has no responsibility to review, approve, or pre-screen any “User Content” posted on FundingRequest.com by a User or third party, and FundingRequest.com is not responsible for such content. The User understands that all business listings, postings, and all other information (including documents, profiles and business plans) on the FundingRequest.com website or transmitted through, or in connection with, the FundingRequest.com service by third parties are the sole responsibility of the third party from whom such User content originated. Users understand that images featured in funding requests for a business may either be real photos and video or, in certain cases, generic images and video intended for illustrative purposes only.

FundingRequest.com disclaims all liability related to User content and submitted materials. FundingRequest.com does not guarantee, and Users do not hold, FundingRequest.com responsible for User content or submitted materials. This includes the accuracy and truth of such User content, or the nature, safety, quality, condition, and management of any marketer on the FundingRequest.com website.

Users understand and agree that they are solely responsible for all the risks associated with the use of any User content. Under no circumstance will FundingRequest.com be liable for any User content, submitted materials, damages or loss of any kind incurred as a result of the use of any User content, submitted materials, or dealings with any other User.

Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages. Therefore, the limitations noted above may not apply to all Users.

The parties agree that these Terms of Service and related Services are governed and construed in accordance with the laws of the State of Florida, without regard to its principles of conflicts of law. This is the case regardless of whether you reside or transact business with FundingRequest.com in Florida or elsewhere.

Our failure to enforce any right or provision of our Terms is not considered a waiver of those rights. If any provision of the Terms of Service or related Services is held to be invalid or unenforceable by a court, the remaining provisions of each will remain in effect.

Exclusive Venue and Jurisdiction. The State and Federal courts located in Florida shall have non-exclusive jurisdiction with respect to any non-arbitrable claims arising out of or under a person’s use of the Service and/or Platform, and the parties hereto irrevocably consent to the non-exclusive jurisdiction of said courts.

THEY ALSO PRECLUDE YOU FROM PARTICIPATING IN OR RECOVERING RELIEF UNDER ANY PAST, PENDING, OR FUTURE CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION AGAINST FUNDINGREQUEST.COM BY SOMEONE ELSE. ARBITRATION PRECLUDES YOU FROM SUING IN COURT OR FROM HAVING A JURY TRIAL. FUNDINGREQUEST.COM MAY ENFORCE THE “BINDING ARBITRATION” AND “CLASS WAIVER” PROVISIONS IN THESE TERMS OF SERVICE AS A THIRD-PARTY BENEFICIARY OF THE TERMS OF SERVICE.

This Arbitration Provision applies to all Users except those located outside of the United States and its territories. Any controversy or claim arising out of or relating to the Terms of Service, the Services, the Platform, or otherwise with respect to an act or omission of the parties related to the same or your relationship with FundingRequest.com their subsidiaries, affiliates, officers, directors, employees, agents or service providers (“Related Third Parties”), including any controversy over the arbitrability of a dispute, will be settled by binding arbitration. All such disputes and claims, including the extent to which any claims are subject to arbitration shall be submitted to binding and non-appealable arbitration in a venue located in Boca Raton, Florida, in accordance with the Commercial Rules in existence at the time of the American Arbitration Association (“AAA”). You acknowledge that the arbitrator(s), and not any federal, state or local court or agency, shall have exclusive authority to resolve any dispute subject to this Arbitration Agreement, including but not limited to any claim that all or any part of the Terms of Service or other agreement are void or voidable, and the arbitrator shall have the exclusive authority to interpret the scope, existence or validity of this provision and the arbitrability of any controversy, claim or dispute. This arbitration agreement will be binding upon and inure to the benefit of the parties hereto and their respective representatives, attorneys-in-fact, heirs, successors, assigns and any other persons having or claiming to have a legal or beneficial interest in the Account, including court-appointed trustees and receivers. This arbitration agreement will also inure to the benefit of

third-party service providers that assist FundingRequest.com in providing services (“Third-Party Service Providers”) and such Third-Party Service Providers are deemed to be third-party beneficiaries of this arbitration agreement.

Prior to Arbitration. Prior to filing an arbitration, the Parties hereby agree that they will attempt to resolve their differences first by submitting the matter for resolution to a mediator, acceptable to all Parties, and whose expenses will be borne equally by all Parties. The mediation will be held in Boca Raton, Florida, on an expedited basis. If the Parties cannot successfully resolve their differences within sixty (60) days of notice of a dispute through mediation, the matter will be resolved by Arbitration before the AAA.

Exceptions to Mediation and Arbitration. You and FundingRequest.com agree that the following disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (1) any disputes seeking to enforce or protect, or concerning the validity of, any of your or FundingRequest.com’s intellectual property rights, including unlawful use of copyrights, trademarks, trade names, logos, trade secrets, or patents; (2) any dispute related to, or arising from, allegations of theft, piracy, invasion of privacy or unauthorized use; and (3) any claim for injunctive relief or specific performance. You acknowledge that the rights possessed by FundingRequest.com which allow it operation of the Platform are of a unique and irreplaceable nature, the loss of which shall irreparably harm FundingRequest.com and which cannot be replaced by monetary damages alone. Nothing in these Terms shall prevent FundingRequest.com from seeking injunctive or equitable relief (without the obligations of posting any bond or surety) with respect to these Terms, in the event of any breach or anticipatory breach by you. You irrevocably waive all rights to seek injunctive or other equitable relief and agree to limit your claims to claims for monetary damages (if any).

Any award the arbitrator makes shall be final and binding, and judgment on it may be entered in any court having jurisdiction.

FundingRequest.com is not intended for use by residents or citizens of the European Union.

This arbitration agreement shall be enforced and interpreted exclusively in accordance with applicable federal laws of the United States, including the Federal Arbitration Act. Any costs, fees or taxes involved in enforcing the award shall be fully assessed against and paid by the party resisting enforcement of said award.

No Class Action. YOU AND FUNDINGREQUEST.COM AGREE THAT EACH MAY BRING CLAIMS ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Neither you nor FundingRequest.com may assert any claim that belongs to or represents any loss or damage alleged to have been suffered by another person or which could have been raised by any other person. Further, unless both you and FundingRequest.com agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding. By accepting these Terms, you give up your right to participate in any past, pending or future class action or any other consolidated or representative proceeding, including any claims existing as of the date of you agreed to these Terms of Service.

Whether to agree to arbitration is an important decision. It is your decision to make and you are not required to rely solely on the information provided in these Terms of Service. You should take reasonable steps to conduct further research and to consult with counsel (at your expense) regarding the consequences of your decision.

From time to time, we may modify or amend the Terms of Service or Privacy Policy. If we do so, any such modifications or changes shall be reflected in the Terms of Service on the Website at Terms of Service and Privacy Policy. We may also notify you by email regarding any material changes to the Terms of Service or Privacy Policy. Whether you receive or review such notifications, you agree that you will be bound by any such changes and that it shall be

By continuing to access or use the Services after any changes are posted shall constitute further consent and agreement to the Terms as changed or amended.
